By accessing or using TaskClock (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including team members, customers, and observers.

2. Description of Service

TaskClock is a time tracking and task management platform that enables businesses to log hours, manage tasks, collaborate with team members, and share timesheets with customers. The Service is offered in two tiers: Standard (free) and TaskClock Intelligence (paid, with AI-powered features).

3. User Accounts

To use the Service, you must:

• Provide a valid email address for authentication
• Be at least 18 years old or have the consent of a parent or guardian
• Keep your account credentials secure and not share access with unauthorized parties
• Provide accurate and complete information in your profile

You are responsible for all activities that occur under your account. Notify us immediately if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Submit false, misleading, or fraudulent timesheet entries
• Attempt to gain unauthorized access to other users' accounts or data
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape, crawl, or extract data from the Service
• Upload malicious files, viruses, or harmful content

5. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by TaskClock and protected by intellectual property laws. You retain ownership of the data you submit to the Service (timesheets, tasks, comments, etc.). By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.

6. Payment Terms

The Standard plan is free and does not require payment. For TaskClock Intelligence:

• The subscription is billed at $20 per month per business
• Payment is due at the start of each billing cycle
• You may cancel your subscription at any time; access continues until the end of the current billing period
• Refunds are not provided for partial billing periods
• We reserve the right to change pricing with 30 days' notice
• A free trial may be offered; if you do not cancel before the trial ends, your subscription will automatically begin

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We are not liable for any losses resulting from service interruptions.

9. Termination

You may delete your account at any time. We may suspend or terminate your account if you violate these Terms or engage in conduct that is harmful to other users or the Service. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

10. Limitation of Liability

To the maximum extent permitted by law, TaskClock shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim. The Service is provided "as is" without warranties of any kind, express or implied.

11. Indemnification

You agree to indemnify and hold harmless TaskClock and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation, and if necessary, through binding arbitration.
